1 Purpose and Scope

1 1 This Data Processing Agreement governs the terms under which ARVIO MEDIA LTD processes personal data on behalf of its clients, partners, and affiliates in the course of delivering services through its online platforms and official website arviomedialtd.com

1 2 This Agreement is part of the contractual relationship between ARVIO MEDIA LTD and the Customer and applies to all data processing activities related to the company’s digital, marketing, research, and information technology services

1 3 The purpose of this Agreement is to ensure that personal data is processed in accordance with the United Kingdom General Data Protection Regulation and the Data Protection Act 2018

2 Roles and Responsibilities

2 1 The Customer is the Data Controller and ARVIO MEDIA LTD acts as the Data Processor unless otherwise stated in writing

2 2 As Data Processor, ARVIO MEDIA LTD shall process personal data solely on documented instructions from the Controller and only for the purposes of delivering the agreed services through arviomedialtd.com and associated systems

2 3 The Controller is responsible for ensuring that all data provided to the Processor has been lawfully collected and that all required consents or notices have been given to data subjects

3 Nature and Purpose of Processing

3 1 The processing of personal data by ARVIO MEDIA LTD includes activities necessary to provide its online and professional services, including

administration and management of customer accounts
operation of hosted and cloud-based software via arviomedialtd.com
execution of digital marketing, advertising, and research campaigns
maintenance, analytics, and technical support functions
data reporting, performance measurement, and security monitoring

3 2 The Processor shall not process data for any purpose other than that expressly authorised by the Controller

4 Categories of Data and Data Subjects

4 1 The personal data processed may include names, contact details, email addresses, business information, IP addresses, usage logs, and technical identifiers generated through arviomedialtd.com and related digital environments

4 2 The data subjects may include clients, customers, business representatives, research participants, and users accessing services through the company’s online systems

5 Duration of Processing

5 1 The processing of data shall continue for the duration of the contractual relationship between the parties or until the Customer instructs ARVIO MEDIA LTD to delete or return the data

5 2 Upon termination of the agreement, the Processor shall securely delete or return all personal data, unless retention is required by law

6 Security of Processing

6 1 ARVIO MEDIA LTD shall implement appropriate technical and organisational security measures to protect data processed through arviomedialtd.com from accidental or unlawful destruction, loss, alteration, unauthorised access, or disclosure

6 2 Security controls include encryption, firewalls, secure hosting, user access management, two-factor authentication, and continuous monitoring of digital systems

6 3 The company ensures that employees and contractors authorised to process personal data are subject to strict confidentiality obligations and receive regular training in data protection principles

7 Sub-Processing

7 1 ARVIO MEDIA LTD may engage carefully selected sub-processors to assist in providing online or technology-related services, including hosting, analytics, or infrastructure providers connected with arviomedialtd.com

7 2 All sub-processors are bound by written agreements imposing data protection and confidentiality obligations equivalent to those in this Agreement

7 3 The Controller will be notified of any intended changes to sub-processors and may object on reasonable grounds

8 International Data Transfers

8 1 Where personal data processed through arviomedialtd.com is transferred outside the United Kingdom, ARVIO MEDIA LTD shall ensure compliance with Chapter V of the UK GDPR

8 2 Transfers will occur only where appropriate safeguards such as standard contractual clauses, adequacy regulations, or equivalent protections are in place

9 Data Subject Rights

9 1 ARVIO MEDIA LTD shall assist the Controller in responding to data subject requests made under the UK GDPR, including requests for access, correction, erasure, restriction, or portability

9 2 If ARVIO MEDIA LTD receives a direct request from a data subject, it shall immediately notify the Controller and not respond without written authorization

10 Data Breach Notification

10 1 In the event of a personal data breach involving data processed through arviomedialtd.com, ARVIO MEDIA LTD shall notify the Controller without undue delay after becoming aware of the breach

10 2 The notification shall include a description of the nature of the breach, categories of affected data, likely consequences, and remedial measures taken or proposed

10 3 The Processor shall cooperate fully with the Controller in fulfilling its obligations under the UK GDPR, including communications with the Information Commissioner’s Office and affected individuals if necessary

11 Audits and Compliance

11 1 The Controller may request documentation demonstrating ARVIO MEDIA LTD’s compliance with its data protection obligations, including evidence of technical and organisational measures applied to arviomedialtd.com

11 2 Upon reasonable notice, the Controller may conduct or commission an independent audit provided such audit does not disrupt normal business operations or compromise the confidentiality of other clients’ data

11 3 ARVIO MEDIA LTD shall cooperate fully with any supervisory authority as required by applicable law

12 Liability and Indemnification

12 1 Each party shall be liable for its own acts and omissions under this Agreement in accordance with the UK GDPR

12 2 The Controller shall indemnify ARVIO MEDIA LTD against all claims and penalties arising from unlawful instructions or violations of data protection law attributable to the Controller

12 3 ARVIO MEDIA LTD shall not be responsible for losses resulting from the Controller’s failure to comply with applicable data protection obligations

13 Termination and Data Return

13 1 Upon termination of the services provided through arviomedialtd.com, ARVIO MEDIA LTD shall, at the Controller’s written instruction, delete or return all personal data within a reasonable period

13 2 The company shall certify in writing that the deletion or return has been completed in accordance with secure data destruction standards

14 Governing Law and Jurisdiction

14 1 This Agreement shall be governed by and construed in accordance with the laws of England and Wales

14 2 Any disputes arising from or related to this Agreement shall be subject to the exclusive jurisdiction of the courts of England and Wales
